Terms and Conditions of Use

1. Acceptance of Terms

By accessing this website (nlsql.com) or using any NLSQL product or service — including but not limited to NLSQL (natural-language-to-SQL platform), NLSQL AI Agent, NLSQL AI Employee, NLSQL Web App Builder AI, NLSQL AI Anomaly Detection, and any other NLSQL offering distributed via the Microsoft Azure Marketplace, the Microsoft AppSource Marketplace, or directly by NLSQL — you (the "User") agree to be bound by these Terms and Conditions of Use, all applicable laws and regulations, and any additional terms specific to individual products. You are responsible for compliance with all applicable local, national, and international laws. If you do not agree with any part of these terms, you are prohibited from using or accessing the NLSQL website and services. The materials and software provided by NLSQL are protected by applicable copyright, trademark, and intellectual property laws.

2. Products and Services Covered

These Terms of Use apply to the following NLSQL products and services (the "Services"):

  1. NLSQL: Enterprise natural-language-to-SQL platform that enables conversational querying of structured databases.
  2. NLSQL AI Agent: Enterprise AI assistant for querying both structured databases and unstructured documents (PDFs, SharePoint, Word).
  3. NLSQL AI Employee: Enterprise AI assistant for workforce automation, internal support, and routine task handling.
  4. NLSQL Web App Builder AI: Enterprise vibe-coding platform that generates Next.js and Supabase web applications deployed in the customer's Azure tenant.
  5. NLSQL AI Anomaly Detection: Continuous monitoring service for structured business databases with proactive email anomaly reports.
  6. Other NLSQL offerings: Any additional products listed on the Microsoft Azure Marketplace under publisher "NLSQL" or distributed directly by NLSQL Limited.

3. Use License

  1. Permission is granted to access and use NLSQL Services for legitimate business purposes in accordance with the specific subscription, trial, or license agreement applicable to each product. This is the grant of a limited license, not a transfer of title, and under this license you may not:
    1. modify, copy, decompile, reverse-engineer, or attempt to derive the source code of any NLSQL software, except to the extent such restriction is prohibited by applicable law;
    2. use the Services to build a competing product or service;
    3. resell, sublicense, lease, or otherwise transfer access to the Services to a third party without explicit written authorization from NLSQL;
    4. remove, alter, or obscure any copyright, trademark, or other proprietary notices contained in the Services;
    5. use the Services in any manner that violates applicable laws, infringes on intellectual property rights, or causes harm to NLSQL or any third party;
    6. attempt to bypass, disable, or interfere with security or access-control features of the Services;
    7. upload, process, or transmit any content that is unlawful, harmful, defamatory, obscene, or otherwise objectionable.
  2. This license shall automatically terminate if you violate any of these restrictions and may be terminated by NLSQL at any time, with or without notice. Upon termination, you must cease all use of the Services and destroy any downloaded materials in your possession, whether in electronic or printed format.

4. Account Registration and Security

  1. Some Services require registration of an account. You agree to provide accurate, complete, and current information during registration and to keep this information up to date.
  2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify NLSQL immediately of any unauthorized use of your account or any other security breach.
  3. NLSQL reserves the right to suspend or terminate accounts that show signs of fraudulent activity, abuse, or violation of these Terms.

5. AI Services and Data Processing

  1. NLSQL Services use artificial intelligence models, including large language models (LLMs), to generate responses, queries, code, and analytical outputs. While NLSQL works to ensure accuracy, AI-generated outputs may contain errors, inaccuracies, or unintended results. You are responsible for reviewing and validating any AI-generated output before relying on it for business decisions, code execution, regulatory compliance, or any other purpose where accuracy is critical.
  2. Customer data (including database contents, documents, queries, and conversations) processed by NLSQL Services is not used to train external or third-party AI models. For NLSQL products deployed inside the customer's Microsoft Azure tenant, customer data remains within the customer's environment and is not transmitted to NLSQL servers.
  3. NLSQL does not guarantee that AI-generated outputs will be accurate, complete, fit for a particular purpose, or free from biases inherent in the underlying AI models. You should never rely on AI-generated content as a substitute for professional advice (legal, medical, financial, or otherwise).
  4. For the NLSQL Web App Builder AI service, you retain ownership of any code generated based on your prompts, and you may export, modify, and self-host such code at any time. NLSQL retains no rights to your generated applications or business logic.

6. Subscription, Trials, and Payment

  1. Some NLSQL Services are offered as paid subscriptions, including via the Microsoft Azure Marketplace. Pricing, billing cycles, and payment terms are set out in the applicable product listing or subscription agreement at the time of purchase.
  2. NLSQL offers free trial periods (typically 30 days) for many of its Services via the Azure Marketplace. During the trial period, no licensing fees apply, but you remain responsible for any underlying infrastructure costs (such as Azure compute resources) consumed during the trial.
  3. For Services purchased via the Microsoft Azure Marketplace, billing, invoicing, refunds, and subscription management are handled through Microsoft according to Microsoft's terms. NLSQL is not responsible for billing disputes that arise from the Azure Marketplace platform itself.
  4. NLSQL reserves the right to modify pricing for any Service with reasonable advance notice, except where prohibited by an existing subscription agreement.

7. Third-Party Services and Marketplaces

NLSQL Services are distributed through and integrated with third-party platforms, including Microsoft Azure, Microsoft Azure Marketplace, Microsoft AppSource, Microsoft Teams, Slack, and various database systems (Microsoft SQL Server, PostgreSQL, MySQL, Oracle, Snowflake, Google BigQuery, Amazon Redshift, MariaDB, Vertica, SAP HANA, and others). Use of such third-party services is governed by the respective third party's terms and policies. NLSQL is not responsible for the availability, reliability, security, or content of any third-party services. The inclusion of any link or integration to a third-party service does not imply endorsement.

8. Intellectual Property

  1. All intellectual property rights in the NLSQL Services, including software, designs, content, trademarks, and documentation, remain the exclusive property of NLSQL Limited or its licensors. Nothing in these Terms transfers any ownership rights to you.
  2. "NLSQL" and the NLSQL logo are trademarks of NLSQL Limited. You may not use these marks without prior written consent from NLSQL.
  3. You retain all rights to data, documents, and content you upload to or process through the Services ("Customer Content"). You grant NLSQL a limited license to process Customer Content solely as necessary to provide the Services.

9. Privacy and Data Protection

Your use of NLSQL Services is also governed by our Privacy Policy, which is incorporated by reference into these Terms. NLSQL processes personal data in accordance with the UK General Data Protection Regulation (UK GDPR), the EU GDPR (where applicable), and other applicable data protection laws. For enterprise customers, additional data processing agreements (DPAs) may be entered into upon request.

10. Disclaimer of Warranties

  1. The NLSQL Services and all materials are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, NLSQL disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and warranties arising from a course of dealing or trade usage.
  2. NLSQL does not warrant that the Services will be uninterrupted, error-free, secure, or that any defects will be corrected. NLSQL does not warrant the accuracy, reliability, completeness, or timeliness of any AI-generated output, query result, anomaly detection alert, or other content produced by the Services.
  3. You assume sole responsibility for any decisions made or actions taken based on outputs from the Services.

11. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall NLSQL Limited, its directors, officers, employees, suppliers, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of business opportunity, or business interruption, arising out of or related to your use of (or inability to use) the Services, even if NLSQL has been advised of the possibility of such damages. NLSQL's total aggregate liability for all claims arising under or relating to these Terms or the Services shall not exceed the greater of (a) the amount you have paid NLSQL for the relevant Service in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred British Pounds (£100). Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you. Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law (including liability for death or personal injury caused by negligence, or for fraud).

12. Indemnification

You agree to indemnify, defend, and hold harmless NLSQL Limited, its officers, directors, employees, and partners from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services in violation of these Terms; (b) your violation of any applicable law or third-party right; (c) Customer Content you upload or process through the Services; or (d) your reliance on AI-generated outputs without appropriate validation.

13. Service Availability and Modifications

NLSQL reserves the right to modify, suspend, or discontinue any aspect of the Services (including features, functionality, or supported integrations) at any time, with or without notice, except where existing subscription commitments require otherwise. NLSQL is not liable to you or any third party for any modification, suspension, or discontinuation of the Services. The materials appearing on NLSQL's website and within the Services may include technical, typographical, or photographic errors. NLSQL does not warrant that any of the materials are accurate, complete, or current and may make changes at any time without notice.

14. Links to External Resources

The NLSQL website and Services may contain links to third-party websites or resources. NLSQL has not reviewed all such linked sites and is not responsible for their contents, terms, or privacy practices. The inclusion of any link does not imply endorsement by NLSQL. Use of any linked website is at your own risk.

15. Termination

Either party may terminate the use of the Services at any time. NLSQL may terminate or suspend your access to the Services immediately, without prior notice, if you breach these Terms. Upon termination, your right to use the Services will cease, and any provisions that by their nature should survive termination (including ownership, disclaimers, indemnification, and limitations of liability) will survive.

16. Modifications to Terms

NLSQL may revise these Terms of Use at any time. The "Last updated" date at the top of this page indicates when revisions were last made. Material changes will be notified via the Service or by email where reasonably practicable. By continuing to use the Services after changes take effect, you agree to be bound by the revised Terms.

17. Governing Law and Jurisdiction

These Terms and any claim, dispute, or proceeding arising out of or relating to them or to the NLSQL Services shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict-of-law principles. The parties submit to the exclusive jurisdiction of the courts of England and Wales for the resolution of any disputes, except that NLSQL may seek injunctive or other equitable relief in any jurisdiction to protect its intellectual property rights.

18. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. These Terms, together with the Privacy Policy and any product-specific subscription agreement, constitute the entire agreement between you and NLSQL regarding use of the Services and supersede all prior or contemporaneous communications and proposals.
